Terms of Service

These Terms of Service (“Terms”) govern website production services branded as Utopia Siteworks, provided by ArkLogic LLC (“we”, “us”, “our”).

By submitting an enquiry, requesting an estimate, or entering into a production agreement, you agree to these Terms.

1. Scope

These Terms apply to planning, information architecture, WordPress website production, launch support, and post-launch care offered through this website (sites.utopiatheme.com).

If a written estimate, statement of work, or signed agreement contains different terms, that individual agreement prevails.

2. Services

We build and support business websites using our original WordPress theme, Utopia.

Included pages, revision rounds, bilingual scope, and support limits are defined on our Pricing page and in your written estimate.

Unless explicitly included, the following are out of scope or quoted separately: brand development, photography, translation copy, advertising, paid plugins, ongoing hosting fees, and legal registrations or disclosures you must maintain as the site owner.

3. Enquiries and contract formation

Enquiries are handled by email only through our contact form. We do not book online calls.

A project contract is formed when you accept our written estimate or agreement and any stated conditions (such as payment of a deposit) are met.

4. Fees and payment

Fees are shown on our pricing page or in your written estimate. Tax may apply where relevant.

Payment is normally by bank transfer. Bank charges may be borne by the client.

We may pause work if payment deadlines are missed.

5. Client responsibilities

You will provide copy, images, brand assets, domain/hosting access, and other materials needed for production within agreed timelines.

Delays in assets, feedback, or scope changes may affect the launch date.

You confirm that materials you supply do not infringe third-party rights.

6. Timelines

Timelines are estimates. Actual delivery depends on asset readiness, review cycles, added requirements, and events outside our reasonable control.

7. Reviews and revisions

Changes beyond the included revision rounds, or added scope, are quoted separately.

Pre-launch review is handled through a private preview URL, screenshots, and email — not live meetings.

8. Intellectual property

Upon full payment, project deliverables within the agreed scope are assigned to you, except for the Utopia theme itself, reusable theme components, and our pre-existing know-how, which remain ours.

Utopia licence terms apply to theme usage.

Unless you object in writing before launch, we may reference the finished public site in our portfolio and marketing.

9. Confidentiality

Each party will keep the other party’s confidential business and technical information private, except where disclosure is required by law.

10. Subcontractors

We may use subcontractors for parts of production or care, under equivalent confidentiality obligations.

11. Disclaimer and liability cap

Services are provided as-is. We do not guarantee specific revenue, lead volume, search rankings, uptime, or security incidents never occurring.

We are not liable for issues caused by hosting providers, third-party plugins/APIs, DNS settings, client-side misconfiguration, or events outside our reasonable control.

Our total liability for a project is limited to the production fees you paid us for that project. We are not liable for indirect loss or lost profits.

12. Cancellation

After work has started, cancellation is billed for work performed and committed costs. Delivered digital work is generally non-returnable.

Monthly care plans may be cancelled under the terms stated in your agreement.

13. Prohibited use

You must not request unlawful sites, supply infringing materials, harass our team, or attempt unauthorised access to our systems.

14. Changes to these Terms

We may update these Terms by posting a revised version on this page.

15. Governing law and jurisdiction

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules.

Disputes shall first be discussed in good faith. If unresolved, the courts located where our company is registered shall have exclusive jurisdiction, subject to mandatory consumer protections in your country of residence.
